These are AI-generated reports

We believe AI dramatically expands what a busy director can prepare for. We also believe it is not infallible. Before you rely on any finding in one of our reports for a board meeting, a vote, or any external communication, please understand the following.

AI can be confidently wrong

Large language models sometimes "hallucinate" — stating false facts, citing papers that do not exist, misreading tables, or inventing plausible-sounding numbers. Our prompts are engineered to reduce this, not to eliminate it. Treat every specific figure, quotation, and citation as a lead to verify against the primary filing, not a settled fact.

Not professional advice

These reports are not investment advice, audit opinions, legal counsel, tax advice, or fiduciary recommendations. They are research aids for informed directors and executives who are already engaging — or capable of engaging — the appropriate professional advisors for decisions.

You must verify before you act

If a report identifies a red flag you want to raise in a board meeting, confirm the underlying fact in the 10-K, proxy, or 8-K before you raise it. If it recommends a question, decide whether the question serves your duty as a director in yourcompany's context. The report informs. You decide.

A decade of director education. A lifetime of research. Now a prompt library.

Professor Rajgopal holds the Roy Bernard Kester & T.W. Byrnes Professorship at Columbia Business School, where he has spent over a decade teaching in the director education program. His research spans financial reporting quality, executive compensation, corporate governance, and the intersection of AI and board oversight.

The ten tracks on this portal represent the codification of that research — patterns observed across hundreds of 10-Ks, proxy statements, and board rooms, translated into prompt libraries that produce structured AI analysis on any public company. The intellectual property is in the prompts and the framing. The reports themselves are the direct output of those prompts, delivered as AI produces them.

His work has been cited in the academic literature, the financial press, and board rooms on four continents. He brings both the researcher's discipline and the practitioner's impatience to the problem of governance: it matters too much to leave to theory.

Terms & Conditions — Summary

The plain-language summary below covers the key terms of purchase and use. The full, legally binding Terms & Conditions are available at the link at the bottom of this section. By ordering a report, you agree to both.

What you are buying

A PDF report generated by running a defined library of analytical prompts, through a commercial third-party AI model (such as Anthropic Claude or OpenAI ChatGPT), against publicly available information about a public company you specify, for a fiscal year you specify. The product is the AI's output, formatted and watermarked. The product is not human analysis, consulting services, or personalised advice.

Use of artificial intelligence — no warranty of accuracy

Reports are generated using artificial-intelligence language models. These models can and do produce errors, including factual mistakes, fabricated citations, misread numbers, and omissions of material information ("hallucinations"). We provide the report "as is" and "as available", with no warranty — express or implied — of accuracy, completeness, timeliness, fitness for a particular purpose, or non-infringement. You are solely responsible for verifying any statement in the report before relying on it.

Not professional advice

Reports are not investment advice, audit opinions, legal counsel, tax advice, accounting advice, or fiduciary recommendations. They are educational and research aids for sophisticated users who are already engaging — or are capable of engaging — the appropriate licensed professionals. Nothing in a report creates an adviser–client relationship, an attorney–client relationship, or any other professional duty.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to your use of the service — whether in contract, tort, statute, or otherwise — is limited to the amount you paid for the specific report at issue. We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, reputational harm, regulatory penalties, or third-party claims, even if we were advised of the possibility of such damages.

Refunds

You may cancel and receive a full refund within 24 hours of order submission, provided the report has not yet been delivered to you. Once delivery has occurred, the order is considered fulfilled and no refund is available. Because the product is a digital good, this waiver is explicit and overrides any jurisdictional default right of withdrawal that may otherwise apply.

Your responsibility

You are responsible for independently verifying any fact, figure, quotation, or citation in the report before using it — including before presenting it at a board meeting, relying on it in any external communication, making any investment or governance decision, or sharing it with any third party. You will not use a report to make any representation of fact to a regulator, investor, auditor, or court without independent verification.

Indemnification

You agree to indemnify and hold us harmless from any claim arising out of your use, reliance on, distribution of, or public reference to any report — including any claim that the report contained an inaccuracy, omission, or misleading statement that contributed to a decision, loss, or dispute.

Intellectual property & permitted use

You receive a non-exclusive, non-transferable licence to use your watermarked PDF for your own internal purposes, including preparation for a board on which you serve. You may not redistribute, republish, or resell the report; you may not strip the watermark; and you may not use the report or its prompts to train any AI model. The prompt library, track framework, and all associated methodology remain our intellectual property.

Privacy & data handling

We process your name, email, company affiliation, payment data, and any supplementary materials you upload only to fulfil your order, comply with law, and contact you about your orders. Supplementary materials you upload are encrypted at rest and deleted 30 days after delivery. We do not sell your data. For EU / UK customers, see our Privacy Policy for GDPR-specific rights.

Governing law & disputes

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association, on an individual and not class-action basis, seated in New York City.

Changes to these terms

We may amend these Terms from time to time. The version in force at the time you place your order is the version that governs that order. We will display the current version at this URL. Material changes will be highlighted in the footer for at least 30 days after publication.

Severability & entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions continue in effect. These Terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between you and us concerning the service and supersede all prior communications.

FAQ

Who actually runs the AI? Do I need a Claude or ChatGPT subscription?

No. All AI work happens on our side using our own AI accounts. You receive a finished PDF. You do not need any AI subscription, software, or literacy to use the service.

Is the report reviewed or edited before I receive it?

No. The report is the direct output of the AI model, formatted into a PDF and watermarked with your name. We do not edit, verify, or fact-check the AI's output. You should treat the report as an AI-generated research aid and verify any specific fact, figure, or citation against the underlying filings before acting on it.

What if the AI gets something wrong?

AI models can hallucinate, misread tables, and cite sources that do not exist. We explicitly disclaim responsibility for factual accuracy in the report. The value we offer is the codified research methodology — not certified accuracy of the output. Please read the Terms & Conditions and the Important Notice before ordering.

Why do I need to specify a fiscal year?

The year tells us which 10-K, proxy, and related filings anchor the analysis. A compensation report on FY 2023 reads very differently from one on FY 2024, even for the same company. If you want a year-over-year view, the Multi-Year Comparison product covers three consecutive years.

How is VAT / GST / sales tax handled if I am outside the US?

Checkout is powered by Stripe and Stripe Tax. The correct local tax — UK VAT, EU VAT, GST, state-level sales tax, etc. — is computed and added at checkout where applicable. You receive a Stripe-generated invoice. If your jurisdiction requires a specific tax ID or reverse-charge treatment, you can enter it at checkout.

My general counsel says we cannot share non-public information with AI tools. Does that apply here?

Every report is built on public filings. If you attach supplementary materials, they are used only as context for your copy of the report, encrypted at rest, and deleted 30 days after delivery. They are not used for training. If your GC wants a specific data-handling letter, contact us before ordering.

Can I pick which prompts from the track are run?

Yes. The default is all prompts in the set. On the order form you can uncheck any prompts you do not need, and the price reduces proportionally.

What is the refund policy?

You may cancel and receive a full refund within 24 hours of order submission, provided the report has not yet been delivered. Once the AI-generated PDF has been delivered, the order is fulfilled and no refund is available. See Section §5 of the Terms & Conditions.
